Marenco · Published October 24, 2026

What qualifies as an independent trustee? The short answer

An independent trustee is a trustee who is not a beneficiary and is not closely tied to one. That way, the trustee’s own interests don’t pull against the beneficiaries’ interests. The trust document comes first. Florida’s default trust rules say the terms of a trust generally prevail over the code’s rules.

Two roles matter here. A beneficiary receives or can receive trust benefits. A trustee manages the trust for those beneficiaries. Start by finding the trust’s wording on trustees. Look for the word “independent” and any definition the drafter included. Read the whole instrument, including any section on who serves if the first trustee cannot. A dictionary meaning won’t settle the question. The trust’s own language usually will.

Not sure what your next step is?

Talk it through with Trust Counsel, PL — the first consultation is free, confidential, and carries no obligation.

Get a free consultation

Get a free consultation

Interested trustees versus independent trustees

An interested trustee is a trustee who is also a beneficiary or who has a personal stake in distributions. Picture a son named as trustee who also receives part of the trust. He decides how much goes to each sibling, and that includes himself. That’s a conflict built into the job.

Florida’s duty of loyalty requires a trustee to administer the trust solely in the interests of the beneficiaries. A transaction tied to a conflict between the trustee’s personal and fiduciary interests can be voided by an affected beneficiary. The trust terms can authorize it, or another listed exception can apply.

Some trusts reduce this conflict by naming an independent trustee or a cotrustee. Under the cotrustee rules, cotrustees who cannot reach a unanimous decision may act by majority decision.

Integrity, trustworthiness and organizational skills

Honesty, fairness and good recordkeeping are the qualities people usually look for in a trustee. These traits describe good administration. They are not a legal checklist that qualifies anyone on its own.

Florida’s code puts paperwork at the center of the job. A trustee must keep clear, distinct and accurate records and keep trust property separate from the trustee’s own. Each trust accounting must show cash and property transactions and the compensation paid to the trustee.

Trust accountings must be reasonably understandable reports under § 736.08135(1), and a trustee’s broader duty to keep qualified beneficiaries reasonably informed is found in § 736.0813. The duty to inform beneficiaries is a concrete test of organization.

A common mistake is assuming good intentions settle the question. An honest trustee who keeps poor records can still cause problems. Missing records make it hard to show what happened to the money.

Understanding the trust’s purpose and beneficiary needs

A trustee should understand what the person who created the trust wanted. ACTEC guidance on children’s trusts explains that trusts can control when and how beneficiaries receive assets. It also says the settlor’s wishes should be clearly stated in the trust document.

Common goals include support for a minor, care for a beneficiary with special needs, and distributions in stages. A trustee who knows these goals is better placed to follow them.

When two or more beneficiaries share a trust, the trustee must act impartially. The duty to act impartially gives due regard to each beneficiary’s interests. That duty is why independence matters. A trustee who favors one beneficiary can face a challenge.

If a trustee does not follow the trust’s terms, a court can act. A court may remove a trustee for a serious breach of trust or, due to the trustee’s unfitness, unwillingness, or persistent failure to administer the trust effectively, when the court determines that removal best serves the interests of the beneficiaries. Courts can also reduce or deny a trustee’s compensation under the remedies for breach of trust. That is where trust litigation enters the picture.

Availability and willingness to serve

A person named as trustee must be willing and able to serve. Florida law says a designated trustee who does not accept within a reasonable time after knowing of the designation is deemed to have declined. A person named as trustee who has not yet accepted can also decline outright under the acceptance rules. A busy or distant relative may not be able to give the trust the attention it needs.

Some trusts name a family member and then a professional as a backup. Trust Counsel’s attorneys can serve individually as trustee or personal representative, while the firm advises and represents trustees, personal representatives and beneficiaries. Lawyers may be paid for serving as trustees. The American College of Trust and Estate Counsel notes that fiduciary and legal services are separate roles that may involve separate fees.

Can a trustee and personal representative be the same person?

The trustee manages trust property. The personal representative handles a probate estate. These are different offices. Florida calls the second role the personal representative, which many readers call an executor. Whether one person can hold both depends on the documents and the facts.

Florida law says a competent adult who lived in Florida at the time of the death may act as personal representative, subject to the probate code’s limits. A person is not qualified if convicted of a felony. Under § 733.302, a person who is sui juris and a Florida resident at the time of the death of the person whose estate is administered is qualified to act as personal representative, subject to the limitations in this part (see § 733.303 for disqualifiers).

Independence questions can come up for either role. Read the will and the trust together, because a conflict in one can affect the other.

Not sure what your next step is?

Talk it through with Trust Counsel, PL — the first consultation is free, confidential, and carries no obligation.

Get a free consultation

Get a free consultation

When the trust requires an independent trustee and the situation is in dispute

Here is a common situation. A trust says the trustee must be independent. The person who created the trust named a relative who is also a beneficiary. Other family members question whether that person qualifies. Each side reads the trust differently, and the family is upset.

The outcome turns on the trust language and the facts of the case. No result can be promised. Florida courts have a range of remedies, including ordering a trustee to perform duties, ordering an accounting, and voiding an act of the trustee (§ 736.1001).

Beneficiaries can also ask for information.
