Marenco · Published October 22, 2026

A trust construction lawsuit asks a Florida court to decide what a trust means. It’s used when the trust wording is unclear, conflicts with another document, or doesn’t cover a situation that has come up. Until the meaning is settled, a trustee may hold back and beneficiaries may wait. This page explains when a court is needed, how a judge reads a trust, and what the process looks like.

What a trust construction lawsuit asks a Florida court to decide

A trust construction lawsuit asks a court to say what the trust language means. The question is about the document itself. It isn’t, by itself, a claim that a trustee did something wrong.

Florida law says that, except as provided in subsections (5), (6), and (7) and s. 736.0206, judicial proceedings about trusts start by filing a complaint. They follow the Florida Rules of Civil Procedure, with the exceptions the statute lists (§ 736.0201). The court may decide questions of construction of trust instruments and may instruct trustees (§ 736.0201).

A court may step into a trust’s administration when an interested person asks it to, or as otherwise provided by law. A trust isn’t under continuing court supervision unless a court orders it. The circuit court has original jurisdiction over proceedings under the Florida Trust Code (§ 736.0203).

Beneficiaries, heirs, trustees and other interested persons typically file these cases. An amendment or a pour-over will may also conflict with the trust.

Gaps. The trust may not address a beneficiary’s death or an asset that was never retitled into the trust.

Blocked distributions. Beneficiaries and a trustee may disagree about what the trust requires, and that disagreement can stop administration.

If you’re unsure which category your problem fits, the wording itself is the place to start.

How a Florida court reads the trust as a whole

A Florida court starts with the settlor’s intent, as the trust expresses it. Under the Florida Trust Code, the terms of a trust prevail over any provision of the code except listed matters, such as the requirements for creating a trust (§ 736.0105). The code’s rules of construction apply unless the trust shows a different intent (§ 736.1101).

The court looks at the whole document, not one sentence alone. The goal is to carry out what the settlor wrote, not to write a new trust.

When the language is truly unclear, evidence can matter. Evidence that often comes up includes:

Earlier drafts or prior estate plans

Amendments and related wills

The settlor’s written instructions

Communications about the plan

The property the trust held when it was signed

Under the Florida Probate Code, the rules of evidence in civil actions apply unless the code changes them (§ 731.1035). Which evidence is usable is a question of those rules. No result can be promised in advance, because the outcome turns on the language and the evidence available.

Who the parties are and what each side needs to show

Each party comes to a construction case with a different goal. Beneficiaries and heirs usually want a reading that leads to a particular distribution. Trustees and personal representatives usually need instructions before acting on an uncertain provision.

Fla. Stat. 738.202 addresses certain “fiduciary decisions” as that statute defines them, such as allocations between income and principal and discretionary powers over income and principal, or their implementation. When a fiduciary petitions for instruction and describes the proposed decision, gives the beneficiary sufficient information about the reasons for it and the facts the fiduciary relies on, and explains how the beneficiary will be affected, the beneficiary who opposes the decision must show it will result in an abuse of discretion (§ 738.202). A court also may not order a fiduciary to change a decision unless it finds an abuse of discretion. A court can’t find an abuse just because it would have decided differently (§ 738.202).

Trust Counsel’s attorneys can serve individually as trustee or personal representative.
